General Terms


By recommending, purchasing or redeeming a RelyCircle Coupon, RelyCircle TryusOffer or RelyCircle Certificate, you agree to be bound by theterms and conditions contained in this document. These Consumer Termsform an agreement between you and RelyCircle Inc., headquartered inSecaucus, NJ ("RelyCircle").

Somefacts to note:

  • Theamount you pay for a RelyCircle TryusOffer or RelyCircle Certificatedoes not expire.

  • Thepromotional value portion of a RelyCircle offer may only be usedduring the stated promotional period.

  • TheMerchant Coupons are valid till date on coupon. Merchant may chooseto withdraw coupons at anytime

  • TheMerchant is the issuer of the RelyCircle offer, RelyCircle Couponsand RelyCircle Certificate and is solely responsible for itsredemption, including all customer service related issues.

  • Allrewards are processed and allocated based on payments received onpurchase and validation made by the Merchant. Reward points aresubject to withdrawal due to refunds and/or non-payment by Merchant.

Thissection is for summary purposes only. Any conflict between them andthe terms below will be resolved in favor of the terms below.  

  1. Offersand Certificates

"RelyCircleOffers" and "RelyCircle Certificates" are voucherswhich are redeemable for products or services by the holder from thethird party merchant identified thereon (“Merchant”).

    1. RelyCircleCertificates allow the holder to apply the purchase price towardMerchant’s products and services (e.g., $100 for $100 worth ofproducts) or for a specified product or service (e.g., $250 for aLandscaping Service).

    2. RelyCircleoffers are equivalent to RelyCircle Certificates, but include anadditional promotional component for no additional consideration.The promotional component is the difference between the maximumredemption value indicated on the RelyCircle Offer and the paidcomponent, which is the amount paid for the RelyCircle Offer. Forexample, a RelyCircle offer offering "$20 for $30 worth ofservices" has a promotional component of $10 worth of servicesin addition to the paid component of $20 worth of services.

  • Redemption

    • RelyCircleOffers and RelyCircle Certificates are issued and can only beredeemed by Merchant pursuant to the Consumer Terms. Under nocircumstances may a RelyCircle Offer or RelyCircle Certificate beredeemed and/or refunded for more than the full value indicatedthereon. Consumer further acknowledges and agrees that:

    1. Expiration:RelyCircle Certificates do not expire and can be redeemed at anytime. RelyCircle Offers, on the other hand, expire only as to thepromotional component, which may only be redeemed during thepromotional period. The promotional period ends on the dateindicated on the RelyCircle Offer, or if no end date is indicated,one year from the date it is purchased. The paid component does notexpire and can be redeemed at any time.

    2. PartialRedemptions:Partial redemptions of a RelyCircle Offer are allocated firstagainst the paid component and then against the promotionalcomponent. Please note, however, that you can only redeem thepromotional component of a RelyCircle Offer during the promotionalperiod, and cannot carry a balance for any unused portion of thepromotional component for later use even during the promotionalperiod. As a result, any unused portion of the promotionalcomponent will not have any value.

    3. Rolesand Responsibilities:RelyCircle is not responsible for redeeming RelyCircle Offers orRelyCircle Certificates. Please contact us atsupport@RelyCircle.comto request a refund of the difference between the amount paid andany value you already received if Merchant refuses to honor yourredemption for the full value required under applicable law. Pleasenote that we may provide your name and the date and time ofpurchase to Merchant to assist Merchant with the redemptionprocess.

  • Restrictions

    • Unlessotherwise, permitted by the Merchant, or required under applicablelaw, the following additional restrictions apply:

    1. RelyCircleOffers and RelyCircle Certificates and RelyCircle Coupons may notbe replicated, resold, or reused;

    2. RelyCircleCoupons, RelyCircle Offers and RelyCircle Certificates are void ifyou attempt to redeem them in violation of the Consumer Terms;

    3. Minimumage is 18 years old to purchase a RelyCircle Offer or RelyCircleCertificate;

    4. RelyCirclemay void RelyCircle Offers or RelyCircle Certificates at any timeby refunding the holder the amount paid less any value alreadyreceived through redemption

    No Warranties

    RELYCIRCLEMAKES NO WARRANTIES AS TO THE MERCHANT OR THE PRODUCTS OR SERVICESTHAT THE MERCHANT OFFERS. RELYCIRCLE DISCLAIMS ALL WARRANTIES OFQUALITY, SAFETY, USABILITY, MERCHANTABILITY OR FITNESS OF ANYUNDERLYING PRODUCT OR SERVICE REDEEMED BY YOU IN CONNECTION WITH ARELYCIRCLE OFFER OR RELYCIRCLE CERTIFICATE. NO ORAL OR WRITTENINFORMATION OR ADVICE GIVEN BY A RELYCIRCLE REPRESENTATIVE WILLCREATE A WARRANTY.

    • No Liability

    YOUACKNOWLEDGE AND AGREE THAT THE MERCHANT, AND NOT RELYCIRCLE, ISRESPONSIBLE FOR ISSUING AND REDEEMING YOUR RELYCIRCLE OFFER ORRELYCIRCLE CERTIFICATE (AS WELL AS THE PRODUCTS AND SERVICES FORWHICH IT MAY BE REDEEMED). AS SUCH, TO THE EXTENT PERMITTED UNDER THELAW, YOU RELEASE RELYCIRCLE FROM ANY AND ALL CLAIMS OR LIABILITYRELATED TO THE ISSUANCE OR REDEMPTION OF YOUR RELYCIRCLE OFFER ORRELYCIRCLE CERTIFICATE, INCLUDING BUT NOT LIMITED TO ANY FAILURE BYTHE MERCHANT TO PROPERLY REDEEM OR REFUND IT, AND ANY PRODUCTS ORSERVICES THAT YOU RECEIVE FROM THE MERCHANT. TO THE EXTENT PERMITTEDUNDER THE LAW, YOU AGREE TO BRING ALL CLAIMS, CAUSES OF ACTION ORDISPUTES ARISING FROM YOUR RELYCIRCLE OFFER OR RELYCIRCLE CERTIFICATEAGAINST THE MERCHANT AND NOT RELYCIRCLE.

    NEITHERYOU NOR RELYCIRCLE WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT,SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM ANY RELYCIRCLE OFFEROR RELYCIRCLE CERTIFICATE OR THESE CONSUMER TERMS. IN ADDITION,NEITHER YOU NOR RELYCIRCLE WILL BE LIABLE TO THE OTHER IN THEAGGREGATE FOR ANY DAMAGES HEREUNDER, REGARDLESS OF FORM, IN EXCESS OFTHE AMOUNT PAID FOR THE RELYCIRCLE OFFER OR RELYCIRCLE CERTIFICATE.

    • Indemnification

    Youagree to defend, indemnify and hold harmless RelyCircle, itsaffiliates and their respective directors, officers, employees andagents from and against all claims and expenses, including attorneys'fees, arising out of or related to (i) your breach of the ConsumerTerms, (ii) your use and access to RelyCircle’s websites or mobileapplications, which use is governed by the Terms of Service posted athttp://www.RelyCircle.com/,and (iii) any products or services for which you redeem yourRelyCircle Offer or RelyCircle Certificate. This defense andindemnification obligation will survive these Consumer Terms and youruse of RelyCircle’s websites, mobile applications, and otherservices.

    • Choiceof Law and Arbitration

    Anyclaim, controversy, cause of action or dispute that might arisebetween you and RelyCircle ("Claim") will be exclusivelygoverned by NewJersey law consistent with the Federal Arbitration Actwithout regard to conflict of law provisions or giving effect to anyprinciples that may provide for the application of the laws ofanother jurisdiction. You agree that any subpoena, third-partydiscovery request, or other third-party process directed toRelyCircle must issue from, or be domesticated by, the state orfederal courts located within Hudson County, New Jersey.

    Notwithstandinganything to the contrary in the Consumer Terms, RelyCircle may applyfor injunctive remedies (or an equivalent type of urgent legalrelief) in any jurisdiction.

    1. Miscellaneous

    TheConsumer Terms comprise the entire agreement between you andRelyCircle relating to your RelyCircle Offer or RelyCircleCertificate, superseding all prior or contemporaneous written andoral agreements, representations or negotiations. In the event of aconflict between the terms and conditions contained in this documentand those set forth on the RelyCircle Offer, RelyCircle Coupons orRelyCircle Certificate itself, the terms and conditions set forth onthe RelyCircle Offe, RelyCircle Coupons or RelyCircle Certificatewill control. In the event of a conflict between the RelyCircle’sTerms of Service and these Consumer Terms, the Consumer Terms willcontrol.

    Thefinal determination that any provision of the Consumer Terms isinvalid or unenforceable will not invalidate them as a whole, and theConsumer Terms will be construed and performed in all respects as ifsuch invalid or unenforceable provisions were omitted to the extentof such invalidity or unenforceability. Any invalid or unenforceableprovisions will be replaced by mutually acceptable, valid andenforceable provisions that most closely reflect the intention of theparties underlying the invalid or unenforceable provisions.

    RelyCircleOffers and RelyCircle Certificates are subject to the Consumer Termsthat are in effect at the time of their purchase. You should read theapplicable Consumer Terms in their entirety each time you purchase orredeem one.
